End User License Agreement (EULA)

IMPORTANT: Please read this End User License Agreement ("Agreement") carefully before using the TotalCare AI Partner Portal and QuickBooks Online Integration (collectively, the "Service"). By accessing or using the Service, you agree to be bound by this Agreement.

1. Acceptance of Terms

By connecting your QuickBooks Online account to TotalCare AI, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, and Intuit's Terms of Service.

2. License Grant

Subject to your compliance with this Agreement, TotalCare IT ("we," "us," or "our") grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the TotalCare AI Partner Portal
• Connect your QuickBooks Online account for AI-powered financial insights
• Receive automated reports and analytics based on your QuickBooks data
• Use the Service for legitimate business purposes only

3. QuickBooks Online Integration

3.1 Authorization

By connecting QuickBooks Online, you authorize us to:

• Access your QuickBooks Online company data through Intuit's official API
• Read and analyze your financial transactions, customers, vendors, and reports
• Store necessary data for providing AI insights and automation services
• Synchronize data between QuickBooks and our platform as needed

3.2 Data Scope

We will only access the following QuickBooks data:

• Company information
• Customer and vendor records
• Invoices and bills
• Payments and transactions
• Financial reports and statements
• Accounting data necessary for AI analysis

3.3 Compliance with Intuit

Our use of QuickBooks data complies with:

• Intuit's Developer Agreement
• QuickBooks Online API Terms of Service
• Intuit's Brand Guidelines
• All applicable data protection regulations

4. User Responsibilities

You agree to:

• Provide accurate and complete information when connecting QuickBooks
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized access
• Use the Service only for lawful business purposes
• Comply with all applicable laws and regulations
• Not attempt to reverse engineer, decompile, or disassemble the Service
• Not use the Service to transmit malicious code or viruses

5. Data Security and Privacy

6. Intellectual Property

You retain all rights to your QuickBooks data. We do not claim ownership of any data you provide through the QuickBooks connection.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution.

7. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance with advance notice
• Temporarily suspend access for security or technical reasons
• Modify or discontinue features with reasonable notice

8. Disclaimers and Limitations

8.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTALCARE IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

8.3 AI-Generated Insights

AI-powered insights and recommendations are for informational purposes only and should not be considered financial, legal, or tax advice. Consult with qualified professionals before making business decisions.

9. Termination

9.1 By You

You may disconnect QuickBooks and terminate this Agreement at any time by visiting the disconnect page.

9.2 By Us

We may suspend or terminate your access if you:

• Violate this Agreement
• Engage in fraudulent or illegal activities
• Abuse or misuse the Service
• Fail to pay any applicable fees (if subscription-based)

9.3 Effect of Termination

Upon termination:

• Your access to the Service will cease
• We will delete your QuickBooks data within 30 days
• Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

10. Indemnification

You agree to indemnify and hold harmless TotalCare IT, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of this Agreement
• Your violation of any third-party rights
• Your QuickBooks data or its accuracy

11. Modifications

We may modify this Agreement at any time. Material changes will be communicated via:

• Email notification to your registered address
• Notice in the Partner Portal
• Updated "Last Modified" date on this page

Continued use of the Service after changes constitutes acceptance of the modified Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@totalcareit.com to attempt informal resolution.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

14. Miscellaneous

14.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and TotalCare IT regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign this Agreement. We may assign our rights and obligations without restriction.
